Platform scope, partner obligations, fees, data ownership, and the limits of what Aurum Estate does and does not do.

Template document — requires review by qualified counsel before it is relied upon

This page sets out the structure and the positions Aurum Estate intends to take. It is a drafting starting point, not executed legal terms, and it is not legal advice. The effective date below is a placeholder until counsel signs off. Do not rely on it for a compliance decision.

These terms describe the intended agreement between Aurum Estate and a marketplace partner. Partner-specific fee schedules, service levels, and data addenda are attached to an executed Master Services Agreement rather than accepted by clicking here.

01What Aurum Estate provides

Aurum Estate licenses a hosted, multi-tenant software platform that allows a partner to operate a branded real estate marketplace, including property data management, a public storefront, lead routing, offer and negotiation workflow, transaction and document management, and integrations with third-party settlement, signature, and lending systems.

02What Aurum Estate does not do

  • We do not act as a real estate broker, agent, or salesperson.
  • We do not represent buyers or sellers and do not negotiate on their behalf.
  • We do not hold client funds as a principal or act as escrow agent.
  • We do not market properties under our own brand.
  • We do not provide legal, tax, accounting, or investment advice.

03Partner responsibilities

  • Maintaining all licenses, registrations, and insurance required in every jurisdiction where the partner operates.
  • Ensuring that all listing content published is accurate, authorized, and compliant with Fair Housing and advertising law.
  • Holding and maintaining the data licenses under which listing and public-record data is ingested.
  • Configuring disclosure packets correctly for each state in which the partner transacts.
  • Administering user accounts and roles, including removing access for people who leave.
  • Responding to consumer and data-subject requests relating to its own marketplace.

04Fees and payment

  • Subscription fees are invoiced in advance; usage-based fees are invoiced in arrears.
  • The transaction platform fee applies only to closed transactions sourced and managed in the platform, at the rate determined by the partner's tier and volume bracket.
  • Listings, leads, offers, and negotiations are not billable events.
  • Volume bracket discounts apply automatically on the next billing run once the threshold is crossed.
  • The applicable rate schedule, bracketing, and attribution rules are those published with the executed agreement.

05Data ownership and license

The partner owns its listing, lead, customer, and transaction data. Aurum Estate receives a limited license to host, process, transmit, and display that data solely to operate and support the platform and to meet legal obligations.

The partner may export its data in documented structured formats at any time. Aurum Estate will not sell, license, or disclose partner-identifiable data to another partner.

06Third-party services

The platform integrates with third-party systems that a partner may choose to enable. Those services are governed by their own agreements, and the partner is responsible for its own relationship and obligations with each provider. Availability of a third-party system is outside Aurum Estate's control.

07Service levels and support

  • Availability targets, maintenance windows, and support response times are defined per tier and stated in the executed agreement.
  • Planned maintenance is announced in advance where it may affect production availability.
  • Data backup, recovery objectives, and continuity commitments are documented in the service schedule.

08Suspension and termination

  • Either party may terminate for material breach after a documented cure period.
  • We may suspend a tenant immediately where continued operation would violate law or endanger platform security or other tenants.
  • On termination, the partner receives a final export and deletion is confirmed in writing subject to legal retention requirements.

09Warranty, liability, and governing law

The platform is provided as a hosted service with the service commitments stated in the executed agreement. Liability caps, exclusions, indemnities, and governing law are deliberately not set out in this draft: they are commercial positions that must be negotiated with counsel and recorded in the signed agreement rather than published as a website template.
